Her rep confirmed that the Oscar-winning actress and Hollywood agent are to wed saying that they are extremely happy.
Witherspoon, 34 began dating Toth, 40 after her split from Jake Gyllenhaal last year.
The actress also has two children from her previous marriage to Ryan Phillippe.
